Automated Execution Addendum
Effective Date: November, 2026
This Addendum supplements the Terms and Conditions and Privacy Policy and applies whenever you, or anyone with access to your Cogny workspace, enable an Automated Execution Feature. Where this Addendum conflicts with the main Terms or the Solo Tier Addendum, this Addendum controls for changes made under an Automated Execution Feature.
Cogny is a tool for businesses. Automated Execution Features may only be used in the course of a business, and by enabling one you confirm that you are not acting as a consumer.
1. Definitions
“Automated Execution Feature” means any setting that lets Cogny carry out a change without a person approving that specific change first, including:
- YOLO Mode — automatic approval of tickets whose approval score meets the threshold you set;
- Auto-merge — automatic merging of a coding agent's pull request whose merge score meets the threshold you set;
- Live edit auto-ship — the coding agent opening a pull request itself when its first run finishes, without a person pressing Ship;
- Auto-approval — any other autonomous execution you permit, including automations, content loops, and guardrail-based execution on the Cloud tier;
and any successor or similar feature, whatever it is called in the Cogny app. “Automated Change” means any change made under an Automated Execution Feature, for example to ad spend, bids, campaigns, audiences, ad copy, tags, website content, or code.
2. Turning it on is accepting the risk
Automated Execution Features are optional and are off by default. Cogny will not turn one on until an owner or admin of your workspace has accepted this Addendum in the Cogny app. Accepting it and turning the feature on is one step: by doing so you accept this Addendum on behalf of the business that uses the workspace, confirm that you are authorised to bind that business, and instruct Cogny to act without asking you first, within the thresholds, policies, and permissions you set. Cogny records who accepted, when, and which version of this Addendum.
An Automated Change is treated as a change you approved. Your acceptance covers the whole workspace and stays in force while any Automated Execution Feature is on, and for all changes made while it was on.
You are solely responsible for the business, financial, legal, and operational outcomes of every Automated Change. This includes the choice of thresholds, merge policies, and granted permissions, and the decision to keep a feature switched on.
3. Outputs may be wrong, including the facts behind them
Cogny's analyses, tickets, and changes are produced by AI models. They may be incomplete, out of date, based on misread data, or invented (“hallucinated”). This applies to the change itself and to the facts used to justify it, including but not limited to prices, review scores, ratings, competitor claims, statistics, quotations, and other factual statements that end up in ads, pages, or code.
An approval score or merge score is an estimate. It is not a guarantee that a change is correct, lawful, or good for your business. Under an Automated Execution Feature, no person checks these facts before they go live unless your own policies require it. You are responsible for ensuring that published content complies with applicable law, including marketing, consumer-protection, and platform advertising rules.
4. What Cogny still does
Enabling an Automated Execution Feature does not change what Cogny records. Cogny will continue to:
- create an analysis or ticket for every Automated Change, stating what was changed and why;
- keep a record of Automated Changes that you can review in your workspace;
- measure and report on the outcome of Automated Changes where it can.
These records exist so that you can review and reverse changes. They do not move responsibility for an Automated Change back to Cogny.
5. Your safeguards
Before and while you use an Automated Execution Feature, we strongly recommend that you:
- review 10 to 20 tickets manually before enabling YOLO Mode;
- set spending caps directly on each connected ad platform;
- grant write permissions only for the actions you are comfortable automating;
- use a merge policy that holds changes to billing, sign-in, pricing, and legal content for a person;
- review the record of Automated Changes regularly.
You can switch any Automated Execution Feature off at any time in Settings. Switching it off does not reverse changes already made.
6. Limitation of liability
To the maximum extent permitted by applicable law, Cogny AB is not liable for losses, costs, claims, or damages arising from Automated Changes, including but not limited to wasted ad spend, lost revenue, incorrect or misleading published content, third-party claims, regulatory action, platform policy violations, or account suspensions on connected platforms. Cogny AB is in no event liable for indirect or consequential loss, including lost profit, lost revenue, lost business, or loss of goodwill.
Where Cogny AB is nonetheless found liable in connection with Automated Changes, its total aggregate liability for all such claims is limited to the fees you paid to Cogny AB for the one (1) month preceding the event that gave rise to the first claim. This cap applies in place of any higher cap in the Terms, an Addendum, or a signed agreement, unless that signed agreement expressly says it overrides this Addendum.
The exclusions and the cap do not apply to loss caused by Cogny AB's intent or gross negligence. This section does not limit Cogny's obligations or liability for data protection, data security, or confidentiality under the Privacy Policy, the Data Processing Agreement, the DORA Addendum, or any signed agreement with you, and it does not limit liability that cannot be limited under mandatory applicable law.
7. Changes to this Addendum
We may update this Addendum. Material changes will be announced in-app or by email before they take effect. Continued use of an Automated Execution Feature after the effective date of a change constitutes acceptance of the updated Addendum.
8. Governing law
This Addendum is governed by Swedish law, and disputes are resolved as set out in the Terms and Conditions.
